1. General Provisions
This document constitutes an official public offer by Sole Proprietor Yuriy Igorevich Volkov (hereinafter “Provider”), addressed to an indefinite number of persons (hereinafter “Client”), and contains all essential terms of service.
Acceptance of this Offer is constituted by any of the following actions by the Client: payment for services, submission of a request via the website form, signing an additional agreement, or commencing use of the Marketing Hub service.
2. Subject of the Offer
The Provider renders services in marketing, development, automation, and software-as-a-service (SaaS) access, including:
- Marketing services: strategy development, media planning, setup and management of advertising campaigns (Yandex Direct, Google Ads, Meta Ads, Telegram Ads, YouTube, VK, OK), SEO, SMM, content marketing, analytics, CRO.
- Web development: websites, landing pages, e-commerce stores; CRM and analytics integrations; UI/UX design.
- AI & automation: AI agents, chatbots, corporate knowledge bases (RAG), marketing and operations automation.
- Training & consulting: workshops, training sessions, and consultations on marketing, analytics, and AI.
- Marketing Hub SaaS: cloud platform access at m-hub.effect-on.ru for marketing strategy management, budgeting, event calendar, knowledge base, and AI assistant.
The specific scope, timeline, and pricing are defined in a supplementary agreement, invoice, proposal, or agreed correspondence.
3. Service Delivery
3.1. The Client submits a request via the website form, email, messenger, or other agreed channel.
3.2. The Provider agrees with the Client on scope, timeline, and pricing.
3.3. The Client makes payment as specified in Section 4.
3.4. The Provider delivers the services within the agreed timeframe.
3.5. Services are accepted upon signing an acceptance act or written confirmation. If no reasoned objections are raised within 5 business days, the services are deemed accepted.
4. Pricing and Payment
4.1. Pricing is determined individually per engagement.
4.2. Payment is made by bank transfer to the Provider’s account or via another agreed method.
4.3. Marketing Hub SaaS is billed on a subscription basis per the pricing published at m-hub.effect-on.ru.
4.4. All prices are in Russian Rubles (RUB). VAT is not applied (simplified taxation).
5. Rights and Obligations
Provider undertakes to:
- Deliver services professionally and within agreed timeframes.
- Maintain confidentiality of Client information.
- Keep the Client informed on progress.
Client undertakes to:
- Provide necessary information and materials in a timely manner.
- Make payments within agreed timeframes.
- Accept delivered services per Section 3.5.
6. Marketing Hub SaaS Terms
6.1. Access is provided on a subscription basis. The subscription period and module set are determined by the selected plan.
6.2. The Provider ensures service availability of at least 99% per month, excluding scheduled maintenance.
6.3. The Client retains all rights to content created within the service.
6.4. The Provider may suspend access upon breach of payment terms or this Offer.
6.5. Upon subscription termination, Client data is retained for 30 days, after which it may be deleted.
7. Confidentiality
Both parties agree not to disclose confidential information obtained during the engagement without written consent. Personal data is processed in accordance with the Privacy Policy published on the website.
8. Liability
8.1. Liability is governed by the applicable laws of the Russian Federation.
8.2. The Provider is not liable for advertising campaign outcomes dependent on third-party actions (ad platforms, search engines, etc.).
8.3. The Provider’s aggregate liability is limited to the amount actually paid by the Client for the respective service.
9. Dispute Resolution
Disputes are resolved through negotiation. If no agreement is reached, disputes shall be submitted to a court at the Provider’s location under the laws of the Russian Federation.
10. Validity and Amendments
10.1. This Offer is effective from the date of publication and is valid indefinitely.
10.2. The Provider may amend this Offer. The current version is always available on this page.
10.3. Continued use of services after amendments constitutes acceptance of the updated terms.
